Shield AI to buy Echodyne for $5.3 billion and raise $2.5 billion at a $28.8 billion valuation

Shield AI (also styled Shield) said on November 5 that it has signed a definitive agreement to acquire radar maker Echodyne Corp. in a deal valued at about $5.3 billion. To support the purchase it is raising about $2.5 billion, including a $1 billion Series H at a roughly $28.8 billion post-money valuation. Closing is expected in early 2027, subject to regulatory approvals. About $4.8 billion is due at closing, with up to $500 million more if Echodyne hits performance targets. Shield says Echodyne’s software-defined radars will expand its Mission Systems business into counter-drone uses, while Echodyne keeps selling MESA radars as standalone products. The package also includes $1 billion of structured equity from Blackstone-managed funds and $500 million of debt led by JPMorgan Chase.

Why it matters

A rare large autonomy-and-sensing deal: the ticket size and valuation show how defense AI firms are buying sensing to scale beyond software.
